1. Services Provided

These Terms & Conditions apply to all services offered by wordforword OÜ («wordforword»), including but not limited to developmental editing, line editing, copyediting, proofreading, formatting, publishing assistance, and translation.

2. Legally Binding Agreement

Before work commences, both parties will sign a legally binding contract outlining the agreed-upon services, project scope, timeline, and payment terms.

3. Project Commencement and Timeline

Work will begin, and the agreed-upon timeline to completion will start as soon as the following conditions are met:

• The contract has been signed by both parties.

• The initial deposit has been received by wordforword.

• The client has provided all necessary materials, and the manuscript (if applicable) is finalised.

4. Portfolio Use

All published materials resulting from wordforword's services can be added to wordforword's portfolio for promotional purposes. This includes, but is not limited to, excerpts, cover images, and links to publicly available content.

5. Payment Terms

• Deposit: An initial deposit, typically representing 50% of the total project cost, is required before work begins.

• Milestones: The project will be divided into milestones. Upon completion of each milestone, wordforword will deliver the work to the client for review.

• Approval and Continuation: If the client approves the milestone, wordforword will proceed with the next phase of the project. This process will continue until all milestones are completed or the project is finalised.

• Watermarked Documents: For review purposes, wordforword will provide the client with a watermarked version of the completed work. The watermark will be removed upon receipt of full payment for the relevant milestone or project phase, including a valid proof of payment.

• Late Payment: An overdue charge of 0.5% per day will apply to any late payments.

6. Prices and VAT

All prices are final and VAT-exempt, as per Estonian regulations regarding small businesses, meaning no additional VAT will be added to the quoted prices.

7. Feedback and Revisions

Two rounds of feedback and revisions are included in the service price. These rounds allow clients to request adjustments within the project's original scope. Additional revisions beyond these two rounds will incur extra fees, which will be agreed upon in writing before the additional revisions are undertaken.

8. Additional Services

If the client requests additional services beyond the originally agreed scope, either:

a) A new agreement outlining the scope and budget for the additional services will be negotiated and signed, or

b) wordforword reserves the right to charge €45 per hour for the additional work, subject to prior written agreement with the client.

9. Confidentiality

wordforword maintains strict confidentiality for all client materials. Information shared by clients will not be disclosed to third parties without explicit written consent, except as required by law.

10. Intellectual Property

All intellectual property rights for the final product remain with the client, with the exception of limited portfolio use as specified in Section 4. Any further transfer of rights will be outlined in a separate written agreement.

11. Cancellations and Refunds

In the event of a cancellation by the client, a fee may apply, depending on the amount of work completed at the time of cancellation. Refunds will be granted only for services not yet performed.

12. Limitation of Liability

wordforword is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from the use or publication of the work.  

13. Governing Law

These terms of service are governed by the laws of Estonia. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the Estonian courts.  

14. Agreement to Terms

By engaging the services of wordforword OÜ, clients acknowledge and agree to these Terms & Conditions.
